1. Granting of Rights and Restrictions on Use

1.1 Authorized Use

You and your Authorized Users (defined in Section 2.1) are granted a non-exclusive, non-transferable, limited right to access and use the Online Services and Materials for research and vulnerability management purposes in accordance with these Terms and any Subscription Agreement entered into with CVETrack.

The rights granted to you and your Authorized Users include:

• The right to download or create printouts of Materials using the commands of the Online Services and to store them for your exclusive use, provided such use complies with applicable copyright and intellectual property laws.
• The ability to excerpt or quote insubstantial portions of Materials in professional documents, provided such use is consistent with applicable copyright law.

1.2 Prohibited Uses

Except as expressly permitted herein, you and your Authorized Users may not:

• Reproduce, distribute, transmit, or create derivative works of the Materials.
• Use the Online Services or Materials for commercial resale or redistribution.
• Exploit CVETrack's trademarks, service marks, or logos without prior written consent.
• Use the Online Services in a manner that infringes intellectual property rights or violates applicable laws, including but not limited to data privacy regulations.

2. Access to Services

2.1 Authorized Users

"Authorized Users" are individuals identified by you as eligible to access the Online Services, such as employees or contractors working exclusively for you. Authorized Users must use the Online Services manually for individual search and retrieval activities and may not employ automated tools or scripts to access the services.

You are responsible for managing your roster of Authorized Users and must promptly revoke access for individuals who no longer qualify. You are liable for any unauthorized use of the Online Services by your Authorized Users or others accessing the services through your credentials.

3. Data Accuracy and Disclaimer of Warranties

CVETrack aims to provide accurate and up-to-date information. However, the Online Services and Materials are provided "AS IS" without any warranties, express or implied, including but not limited to:

• Accuracy, completeness, or timeliness of the data.
• Fitness for a particular purpose or merchantability.
• Availability or error-free operation of the Online Services.

4. Limitation of Liability

To the fullest extent permitted by applicable law, CVETrack and its affiliates, officers, employees, and third-party suppliers shall not be liable for any:

• Direct, indirect, incidental, or consequential damages arising from the use of the Online Services or Materials.
• Loss or corruption of data, or system interruptions.
• Decisions made or actions taken based on the information provided by the Online Services.

In no event shall CVETrack's aggregate liability exceed the amount you paid for the Online Services in the preceding 12 months.

5. Intellectual Property

All content, logos, trademarks, and Materials on CVETrack's Online Services are the intellectual property of CVETrack or its licensors. You may not use, reproduce, or distribute this content without prior written permission.

7. Modifications to Terms and Services

CVETrack may update these Terms or modify the Online Services at any time. Changes to the Terms will be communicated through our website or other appropriate channels. Your continued use of the Online Services constitutes acceptance of the modified Terms.

8. Privacy and Data Protection

Use of the Online Services is subject to our Privacy Policy, which governs how CVETrack collects, uses, and protects your data. You must ensure that your use of the Online Services complies with all applicable data privacy laws.

9. Governing Law and Dispute Resolution
